It is a technological and digital system designed to organize the roles and responsibilities of members of boards of directors and their affiliated committees, establish the legal structure of members, distribute authorities, and document electronic signatures in accordance with the corporate governance charter for joint-stock companies.

The system also provides a display and management interface for board and committee meeting minutes remotely, while preserving the voting rights of each member and documenting their votes in the official minutes at the end of the meeting.

Program Features:

  1. The system allows the registration and approval of newly appointed board members, defining their titles and responsibilities according to the corporate governance charter.
  2. It enables the formation of committees such as finance and audit committees, nomination committees, and contracts and tenders committees in accordance with the governance regulations of joint-stock companies.
  3. The platform provides both physical and virtual meeting capabilities for board members, including attendance verification for each member through biometric fingerprint identification during physical meetings, as well as remote attendance verification when a member is outside the company or country.
  4. The system includes a feature to record and verify members’ votes during the discussion of meeting agendas and to document voting percentages for each item in the official meeting minutes.
  5. It allows relevant government authorities to review the agendas and approved minutes of board and committee meetings, as well as monitor how voting processes are conducted within those companies.
  6. The system also enables government authorities to monitor the decisions of ordinary and extraordinary general assemblies.
  7. The program provides a feature to manage and monitor the administrative and financial affairs of board members, committees, and general assemblies, including remunerations, accommodation and transportation expenses, as well as disciplinary procedures such as warnings and terminations.
